Introduction

Welcome to OceonCloud. These terms and conditions (“Terms”) govern your use of the OceonCloud services, including all features, functionality, and content (the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service. We may update these Terms from time to time, so we encourage you to review them periodically. Your continued use of the Service after any changes to these Terms will constitute your acceptance of such changes.

Eligibility and Requirements

If you provide us with any feedback or suggestions regarding the Service (“Feedback”), you grant OceonCloud a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate such Feedback into the Service.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

Limitation of Liability

IN NO EVENT SHALL OCEONCLOUD, ITS AFFILIATES, DIRECTORS, OFFICERS, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF OCEONCLOUD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (A) THE USE OR THE INABILITY TO USE THE SERVICE; (B) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (C) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (D) ANY OTHER MATTER RELATING TO THE SERVICE.

Indemnification

You agree to indemnify, defend, and hold harmless OceonCloud and its affiliates, directors, officers, agents, licensors, and suppliers from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from or relating to your use or misuse of the Service, your breach of these Terms, or your violation of any third-party rights.

Termination

You may terminate your subscription at any time by contacting us through our website. Upon termination, your access to the Service will cease immediately.

We may terminate your subscription or suspend your access to the Service at any time, with or without cause and without notice. If we terminate your access to the Service, any fees paid for unused services will be refunded on a prorated basis.

Upon termination, all rights granted to you under these Terms will immediately cease. You must stop using the Service and delete any copies of related software from your systems.

Dispute Resolution

Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
